Senior Corporate Legal Counsel

What will you be doing?

Corporate Governance & Shareholder Relations:

  • Leading all corporate governance processes across the Group (Finora Group and Bankish).
  • Managing capital-raise documentation, legal investor onboarding, and related governance actions.
  • Ensuring compliance with statutory requirements, Articles of Association of Finora Group, and corporate decision-making frameworks.

Investment Processes & Structuring:

  • Driving legal workstreams of new investor agreements, capital increases, and other strategic transactions.
  • Preparing and negotiating transaction documents and coordinating due diligence processes with internal and external advisors.
  • Ensuring proper registration of shares, cap table accuracy, and end-to-end legal oversight of corporate actions in Estonia.

Strategic Legal Advisory:

  • Advising management on complex corporate and strategic legal issues.
  • Anticipating potential risks and disputes within corporate structures; proposing practical, business-oriented solutions.
  • Acting as the senior legal partner to Investor Relations, Finance, and top management, ensuring Group-wide alignment.

Cross-Group Collaboration:

  • Working closely with teams in Tallinn and Vilnius.
  • Providing strong in-house continuity and expertise.
  • Coordinating with internal and external lawyers and ensuring efficient workload distribution.

What will help you succeed?

  • Minimum 5+ years of high-level legal experience, ideally in international organizations, financial sector, corporate law, or M&A.
  • Strong background in corporate governance, transaction structuring, and shareholder-level legal processes.
  • Experience with investment agreements, SPAs, SHA negotiations, and international entities.
  • Proven ability to operate at senior responsibility levels, advise top management, and manage complex, high stakes matters.
  • Excellent understanding of Estonian corporate law.
  • Strong analytical skills, practical judgment, and ability to balance legal rigor with business-oriented thinking.
  • Fluency in English and Estonian.
